GENERAL INFORMATION
Orders are subject to acceptance. Verbal orders must be confirmed in writing with all necessary information, such as IMC model
number, sizes, quantities and/or approved shop drawings. A detailed order acknowledgment is provided for each order. Contact IMC
immediately if there are discrepancies.

TERMS & CONDITIONS
Prices: Prices will be those in effect at the time of sale. Sales, use and other taxes and levies are the responsibility of the buyer.
By purchasing IMC/Teddy products, the buyer accepts these terms of sale as well as the design, specifications and associated drawings,
unless otherwise mutually agreed in advance. All Intellectual Property rights are retained by IMC/Teddy. Quotations, unless otherwise
stated, are for 60 day acceptance.

Shipments are FOB Amityville, NY

Terms: Merchandise shipped open account to those firms furnishing satisfactory credit references. Terms are 1% Discount – 10 days;
Net – 30 days. Discount and discount dates are clearly marked on the top right corner of each invoice should you be entitled to any
discount, subject to the current status of your account and/or approved credit. All other orders are Cash in Advance (C.I.A.) or Cash on
Delivery (C.O.D.). We gladly accept all major Credit Cards at IMC’s discretion. Credit Card payments are not entitled to any Cash Discount.

Design: IMC reserves the right to make design changes or specific product changes without notice.

DRAWINGS
Standard IMC products, identified by model number and size as shown on spec sheets, do not require drawings. If submittal drawings
are requested, IMC will not proceed with production schedule without prior written approval, unless otherwise advised.

STOCK: Stock items ship within 24 hours.

QUICK SHIP
The following items will ship within 48 hours or sooner:
All Floor Troughs 10ft & under with (1) standard drain in center of Trough
All Sinks except Scullery Sinks – Multi-Station Hand Sinks

LEAD TIMES
Lead times for production orders vary with schedule requirements and product complexity. Contact factory at time of release for schedule.

CANCELLATIONS/CHARGES
All sales are final. Cancellations are not accepted on orders in transit or on customs jobs. Standard orders that are canceled and are
already in process or shipped may be subject to a 25% restocking fee. No product may be returned without an RGA issued by IMC.

Orders, once engineered and scheduled, are subject to cancellation charges as follows:
Engineering 25%
Material Processed 60%
Assembled 100%

Special Fabrications and orders entered into production schedule may not be subject to cancellation.

Cartage: Shipments will be made via carrier chosen by IMC, unless otherwise instructed by customer in writing. Freight and shipping
charges are the responsibility of the buyer.

GUARANTEE
All products are guaranteed against defect in workmanship and material for a period of one year from date of shipment, provided such
defects do not result from abuse, unreasonable usage or other conditions beyond IMC’s control. IMC’s liability shall not exceed the cost
of material furnished. Inspect products fully prior to installation. IMC’s sole obligations with respect to product shall be to factory repair,
correct or replace FOB Factory, at IMC’s discretion. Claims for defective or rejected items must be made in writing by the buyer to IMC
within five (5) days after receipt of shipment.

No unauthorized back charges will be accepted.

LIABILITY
IMC shall not be liable for failure to make deliveries due to conditions beyond its control such as fires, strikes, acts of God, government
priorities, etc.
